1. GENERAL INFORMATION

This Public Offer (hereinafter referred to as the “Offer”) is an offer from Cineocean LLC, operating under the legal entity Cineocean LLC, registered at 5830 East 2nd Street, #22939, Casper, WY 82609, USA to conclude a Service Provision Agreement (hereinafter referred to as the “Agreement”) using the technical capabilities of the website https://www.cineocean.com (hereinafter referred to as the “Website”) on the terms specified herein with any person who accepts the terms of the Agreement (hereinafter referred to as the “User”) and meets the requirements established by the Agreement. This Agreement is public, in accordance with Sections 1-207, 2-204 of the Uniform Commercial Code (UCC) of the United States, and its terms are the same for all Users. Before using the Website, we ask you to carefully read the contents of the Offer. To conclude the Agreement, the User must accept, that is, provide their full and unconditional consent to the conclusion of the Agreement on the terms set out in the Offer, by marking the corresponding checkbox on the Website. Registration on the Website confirms the unconditional agreement of the User to this Agreement, the Privacy Policy, and the Rules for posting information on the Website. If the User does not accept the terms of the Offer in full, they cannot access the services offered on the website.

2. BASIC TERMS AND DEFINITIONS

2.1. Acceptance of the Offer

The User’s response to accepting the terms of this Agreement when registering on the Website and making payment for the Services (for paid Services). Acceptance of the Offer means the User’s full, unconditional acceptance of the conditions set forth in this Agreement without any changes.

2.2. Account

The User’s account on the Website, through which the User accesses the Services, and other necessary information for the performance of the Agreement. The User’s Account contains information about the services purchased by the User, their personal data uploaded for verification, and other information. The User can delete the Account only upon contacting the authorized persons of the Service Provider (Website administration).

2.3. Service Order

The User’s electronic request for the provision of Services, independently selected and processed on the Website.

2.4. Service Provider

Cineocean LLC, represented by Petr Romanov, authorized persons (employees) of the Website, who are vested with rights and obligations under this Agreement.

2.5. User, Customer

The recipient of the Services; an individual with full legal capacity, an individual entrepreneur, or a legal entity who has accepted the terms of the Offer and is a Party to this Agreement.

2.6. Service

The provision by the Service Provider to the User of access to content in the form of images, videos, and text-based content generation, as well as chat functionalities. The Website may contain both paid and free services.

2.7. Website

A publicly available website located on the Internet at the address https://www.cineocean.com, together with all pages, subdomains, and software, including, but not limited to, objects of intellectual property, as well as the design, structure, selection, coordination, appearance, and arrangement of the content included in the Website.

2.8. Parties to the Agreement

The Service Provider and the Customer.

3. GENERAL PROVISIONS

3.1. The Service Provider agrees to provide the Services using the technical capabilities of the Website upon the User’s Order, and the User agrees to accept and pay for the Services (for paid Services) on the terms defined in this Agreement.

3.2. By registering on the Website, placing an Order for Services (including free ones), the User:

• unconditionally, fully, and without any changes accepts the terms set forth in this Agreement, namely, accepts the Offer and understands the consequences of using the Website;
• confirms having familiarized themselves with the terms of this Agreement, the Privacy Policy, the Rules for posting information on the Website, and unconditionally accepts them;
• consents to the collection and processing of their personal data in accordance with the Privacy Policy.

3.3. The Service Provider may make changes to this Agreement, the Privacy Policy, the Rules for posting information on the Website, and other documents that are an integral part of this Agreement. The Service Provider will publish the changes on the Website, indicating the date of the last revision. The Service Provider will inform the User about the changes to the Documents by sending a message to the User’s email no later than 30 calendar days before the effective date of the new edition. The changes come into effect from the date of publication of the documents in the new edition.

3.4. The primary language of the Agreement and the Website is English. By accepting the Agreement, the User confirms that the terms of the Agreement, the Privacy Policy, and any other messages and information on the Website are clearly and comprehensively presented in English.

4. PRICING AND PAYMENT

4.1. Pricing Information

• 1 credit = $0.00025 USD
• 1 cent = 40 credits

4.2. Model Usage and Credits

CineOcean provides access to advanced AI services via publicly available APIs and open-source models. These services require credits, which may be distributed for free or purchased as part of a subscription or one-time payment.

CineOcean may update credit pricing or change the models offered at any time without notice, depending on availability, API updates, or infrastructure load.

CineOcean uses third-party AI models made available through public APIs and open-source repositories. We do not host, own, or control proprietary models such as Veo 3 (Google), Dream Machine (Luma Labs), Flow (Minimax), ChatGPT (OpenAI), or Leonardo.Ai. All rights, trademarks, and intellectual property belong to their respective owners.

CineOcean is not affiliated with, endorsed by, or in any official partnership with Google LLC, Luma Labs, Minimax, OpenAI, Leonardo.Ai, or any other model provider. Use of these services is governed by the respective providers’ terms of service and licensing conditions.

4.3. Subscription Plans

• Free Plan: 500 credits upon registration, with the ability to purchase credits. No commercial use permitted.
• Standard Plan: $10 per month (40,000 credits per month, Commercial use permitted).
• Premium Plan: $50 per month (200,000 credits per month, Commercial use permitted, Stealth mode, Premium Support).

4.4. Annual Subscription Plans (20% Discount)

• Standard Plan: $96 per year.
• Premium Plan: $480 per year.

5. INTELLECTUAL PROPERTY

5.1. The content provided on the Website, including but not limited to, images, videos, text, software, and design elements, is protected by intellectual property laws. The Service Provider is the owner of all intellectual property rights related to the Services, the Website, and its content.

5.2. The User is granted a non-exclusive, personal, and non-transferable right to use the Website in accordance with the terms of this Agreement.

5.3. The User may not reproduce, modify, adapt, distribute, or publicly present any content from the Website without prior written permission from the Service Provider.

5.4. The User assigns all property rights of intellectual property to any content created using the Services to the Service Provider, allowing the Service Provider to freely use or transfer these rights.

6. LIABILITY

6.1. The Service Provider is not liable for any damages or losses incurred by the User as a result of using the Website or Services, except in cases of gross negligence or willful misconduct by the Service Provider.

6.2. The User agrees to indemnify and hold the Service Provider harmless from any claims, damages, or losses arising out of the User’s use of the Website or Services.

7. TERMINATION

7.1. The Service Provider reserves the right to terminate this Agreement and suspend access to the Services at any time, with or without notice, for any reason, including but not limited to, violation of the terms of this Agreement.

7.2. The User may terminate this Agreement by ceasing to use the Website and deleting their Account.

8. GOVERNING LAW

8.1. This Agreement is governed by the laws of the USA, and any disputes arising out of or in connection with this Agreement shall be resolved in accordance with the laws of the USA.
